    Gatewayz AI Terms of Service

    These Terms of Service ("Terms") are a binding contract between you ("User," "you") and Augmented Intelligence Humans Inc. ("Gatewayz AI," "we," "us," "our"), a corporation incorporated under the laws of Ontario, Canada, governing your use of the website, APIs, platforms, services, and related offerings (collectively, the "Service"). These Terms incorporate by reference our Privacy Policy.

    By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

    1. Service Overview

    Gatewayz AI operates an artificial intelligence model access platform that enables you to interact with various generative AI models, tools, and interfaces, including APIs and developer tools. We may modify, discontinue, or add features at our discretion.

    2. Eligibility

    You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction (18 in most Canadian provinces), you must have permission from a parent or guardian.

    When using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

    3. Accounts and Registration

    To access certain features, you may be required to create an account. You agree to:

    • Provide accurate, current information.
    • Maintain the confidentiality of your account credentials.
    • Notify us promptly of any unauthorized use.

    You are responsible for all activity under your account.

    4. Payment and Credits

    If the Service requires payment or credits:

    • Prepaid credits are non-transferable and used according to the plan you select.
    • Refunds are only provided if requested within 24 hours of purchase, unless prohibited by applicable Canadian consumer protection laws.
    • Credits may expire after a defined period (e.g., 12 months) unless required otherwise by law.
    • Payments may involve third-party processors. You are responsible for any fees or charges from those processors.

    5. User Content and Rights

    5.1 Your Inputs and Outputs

    "User Content" includes inputs you send to the Service and outputs you receive.

    You retain ownership of your User Content. You are responsible for legality, compliance, and rights related to User Content.

    5.2 License to Gatewayz AI

    By submitting User Content, you grant Gatewayz AI a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and distribute your content solely to provide the Service (and for aggregated analytics), unless you opt out through controls we provide.

    5.3 Opt-In Logging

    If you enable prompt or chat logging features, you grant a perpetual license to Gatewayz AI to store, use, and distribute your logged data for service improvement and analytics.

    6. Prohibited Conduct

    You agree not to:

    • Use the Service for unlawful purposes or violate any applicable laws.
    • Scrape, reverse-engineer, or circumvent technical protections.
    • Upload harmful, infringing, or illegal content.
    • Transfer access to others without authorization.

    7. Termination

    You may terminate your account at any time by contacting support. We may suspend or terminate access at our discretion if you breach these Terms. Certain provisions survive termination.

    8. Privacy Policy

    Our Privacy Policy describes how we collect, use, and share your information. By using the Service, you consent to those practices as part of these Terms.

    9. Modifications to Terms

    We may update these Terms. For material changes, we will provide notice (email or in-product). Continued use after notice constitutes acceptance.

    10. Ownership and Intellectual Property

    The Service and all materials provided by Gatewayz AI are the property of Augmented Intelligence Humans Inc. or its licensors. Nothing in these Terms conveys ownership rights to you.

    11. Indemnity

    You agree to defend and indemnify Gatewayz AI and its officers and agents against all claims, liabilities, damages, and expenses arising from your use of the Service or your violation of these Terms.

    12. Disclaimers and No Warranties

    The Service is provided "as is" and "as available." Gatewayz AI makes no warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

    13. Limitation of Liability

    To the extent permitted by Ontario law:

    • Gatewayz AI is not liable for indirect, incidental, consequential, or punitive damages.
    • Our maximum aggregate liability to you is limited to the amount you paid us in the past 12 months.

    14. Governing Law and Dispute Resolution

    These Terms are governed by the laws of Ontario and Canada. Any legal action will be brought exclusively in the courts of Ontario.

    Optional Arbitration Clause: Instead of court, disputes may be resolved through binding arbitration in Ontario.

    15. Consent to Electronic Communications

    By using the Service, you consent to receive communications electronically.
